# **1. General Overview — For Clients**

*Plain-language version suited to a general-audience presentation or handout.*

**What is a segregated fund?** A segregated fund is an investment that’s held inside an insurance contract rather than bought directly. It invests in a pool of stocks and bonds — much like a mutual fund — but because it’s issued by a life insurance company, it comes with guarantees that a regular investment fund can’t offer.

## **The two built-in guarantees**

- **Maturity guarantee.** At the end of the contract’s term (typically 10–15 years), you’re guaranteed to get back at least 75% to 100% of what you put in, even if the market has dropped — depending on the guarantee level you choose.
- **Death benefit guarantee.** If you pass away, your named beneficiary receives at least 75% and up to 100% of your original deposits, regardless of the investments' value at the time.

## **Other benefits worth knowing**

- **Potential creditor protection.** When a spouse, child, parent, grandchild, or irrevocable beneficiary is named, segregated funds can be protected from creditors — valuable for business owners and professionals in liability-exposed roles.
- **Bypasses your estate.** With a named beneficiary, proceeds pass directly to them — often within weeks — without going through probate, which can mean lower costs, more privacy, and faster access to funds for loved ones.
- **Reset option.** Many contracts let you lock in market gains periodically by resetting the guaranteed amount to the current, higher value.

In short: segregated funds trade a modest cost premium for peace of mind — protection on the downside, a guaranteed legacy for beneficiaries, and a faster, more private estate transfer.

# **3. Technical & Regulatory Detail**

## **Legal and regulatory structure**

- **Contract type.** A segregated fund is sold as an Individual Variable Insurance Contract (IVIC), issued by a federally or provincially licensed life insurance company — not a prospectus-qualified security.
- **Governing framework.** Contract design, disclosure, and sales practices are governed by CLHIA Guideline G2 (Individual Variable Insurance Contracts Relating to Segregated Funds), together with provincial insurance legislation. This differs from the securities-law framework (NI 81-101/102, Fund Facts) that governs mutual funds.
- **Point-of-sale disclosure.** Clients must receive a Fund Facts-style Information Folder / Key Facts document before purchase, summarizing guarantees, fees, and risks in a standardized format.
- **Distribution.** Segregated funds may only be sold by individuals licensed to sell life insurance in the client’s province, in addition to any securities licensing an advisor may separately hold.

## **Guarantee mechanics**

- **Maturity benefit.** Guarantees of 75/75, 75/100, or 100/100 (maturity/death) are common contract structures. The maturity date and reset elections directly affect the guaranteed floor — each reset typically extends the maturity date and re-bases the guarantee to the higher, current market value.
- **Death benefit.** Paid to the named beneficiary independent of the estate, calculated as the greater of market value or the guaranteed percentage of net deposits, adjusted for prior withdrawals on a proportional (not dollar-for-dollar) basis.
- **Guarantee cost.** Priced into the MER as an explicit insurance risk premium, which is why segregated fund MERs typically run 1–2 percentage points above a comparable mutual fund mandate.

## **Creditor protection**

- Protection is not automatic — it depends on naming a beneficiary within an insurance-eligible class (spouse, child, grandchild, parent, or an irrevocable designation) under the applicable provincial Insurance Act.
- Protection can be challenged and set aside under fraudulent-conveyance rules if funds are transferred into the contract after a creditor claim has already arisen or with intent to defeat creditors — timing and documentation matter.
- Treatment varies by province (e.g., Quebec’s Civil Code provisions differ from common-law provinces), so protection should be confirmed against the client’s jurisdiction, not assumed.

## **Tax treatment**

- **Registered accounts (RRSP, TFSA, RRIF, RDSP).** Standard registered-account tax rules apply; the insurance wrapper does not change registered tax treatment.
- **Non-registered accounts.** Segregated funds flow through realized capital gains/losses, interest, and dividend income to the contract holder annually via a T3 slip, whether or not units are redeemed — this differs from a deferred-tax mutual fund structure only in allocation mechanics, not in the underlying trust-based flow-through principle.
- **Guarantee top-up payments.** Amounts paid by the insurer to satisfy a maturity or death guarantee are generally treated as a capital gain to the contract, reportable in the year paid.
- As with any tax treatment, confirm current CRA guidance and the specific insurer’s tax reporting practice before advising a client — tax rules and administrative positions can change.
